●前回のメルマガから随分と間が空いてしまいましたが、早速、実際の
契約書を見ていくことにします。販売代理店契約は売買契約のような
一回限りの取引ではなく、通常は年間単位で継続的に取引を行うことを
予定しています。そして、付き合いが長くなればなるほど、信頼関係が
構築されるのですが、同時にトラブルが発生する可能性も大きくなり
ます。そのため、契約書において定める事項も詳細になります。
●まず前文ですが、以下のような文言があれば十分でしょう。
THIS AGREEMENT IS MADE AS OF THE 5th DAY OF March, 2005, by and
between X (Supplier), a company organaized and existing under
the laws of the State of Califorinia, with its principal place
of business at XXX, and Y (Distributor), a company organaized
and existing under the laws of Japan, with its principal place of
business at XXX;
「本契約は2005年3月5日に、カリフォルニア州法に基づき設立され存続し、
XXXに主たる営業所を有するＸ（以下、供給者という）と、日本法に
基づき設立され存続し、XXXに主たる営業所を有するＹ（以下、代理店
という）との間で締結される」
契約で規定される細かな取引条件については、取引の対象となる製品の
性質が関係します。ある製品に付随する付属品や予備品がある場合、
製品に対して特別のサービスを提供する場合、製品のアップデートが
予定されている場合等においては当該事柄について規定しておく必要が
あります。そして、各条項で使用される文言で頻繁に使われるものに
ついては、個々の条文でその意味を定義するとると文言が長くなって
読みにくくなりますので、最初に一括して定義されます。
When used in this Agreement, the following terms shall have the
meanings indicated. The meanings shall be applied whether the
singular or the plural form of the term is used.
「本契約において次の用語の意味は以下の通りとする。当該用語の
単数形または複数形が使用されても、同じ意味が適用される」
●具体的な定義条項は以下のようなものになります。
"Products" means those items described in Exhibit A. Products
may be deleted from or added to Exhibit A and their
specifications and design may be changed by Supplier at its sole
discretion at any time by giving written notice of such changes
to Distributor. Each change shall become effective within seven(7)
days following the date notice thereof is given to Distributor.
「製品」は、別紙Aに記載されたアイテムを意味する。供給者は販売店に
対して書面による通知を行うことによりいつにても、別紙Aの製品を削除、
または、追加し、製品の仕様、デザインを変更することができる。当該
変更は販売店が通知を受領した後7日以内に有効となる。
"Accessories" means the accessories described in Exhibit B,
and includes any special devices manufactured by supplier
and used in connection with the operation of the Prodcuts.
Accessories may be deleted from or added to Exhibit B and
Supplier may change the specifications and design at its sole
discretion at any time by giving written notice of such changes
to Distributor. Each change shall become effective within seven
(7) days following the date notice thereof is given to Distributor.
「付属品」は、別紙Bに記載された付属品、および、供給者により製造され
製品の運転に付随して使われる特別な装置を意味する。供給者は販売店に
対して書面による通知を行うことによりいつにても、別紙Bの付属品を削除、
または、追加し、付属品の仕様、デザインを変更することができる。当該
変更は販売店が通知を受領した後7日以内に有効となる。
"Spare Parts" means all parts and components of the Products and/or
any special devices used in connection with the maintenance or
servicing of the Products. Supplier declares that a complete list
of Spare Parts is set forth in Exhibit C. Spare parts may be
deleted from or added to Exhibit C and their specifications and
design may be changed by Supplier at its sole discretion at any
time by giving written notice of such changes to Distributor.
Each change shall become effective within seven (7) days following
the date notice thereof is given to Distributor.
「予備品」は、製品の全ての部品、構成品、および／または、製品の保守、
運転に付随して使われる特別な装置を意味する。当該予備品は別紙Cに
全て記載されるものとする。供給者は販売店に対して書面による通知を
行うことによりいつにても、別紙Cの製品を削除、または、追加し、予備品の
仕様、デザインを変更することができる。また当該変更は販売店が通知を
受領した後7日以内に有効となる。
